The portal www.uniqueandu.com and its corresponding mobile application (collectively, “Uniqueandu”), are managed and operated by Uniqueandu (“Company Name”, “we”, “us”, or “our”). Any natural or legal person who accesses and/or uses Uniqueandu in any manner (“you” or “your”) or uses any current or future service or functionality or offer made available on Uniqueandu (“Service”) will be subject to these terms and conditions for use of Uniqueandu (“Terms of Use”), as updated from time to time, and such terms, guidelines, and conditions as may apply to such Service (“Service Terms”). If these Terms of Use are inconsistent with such Service Terms, the Service Terms will control to the extent of such inconsistency concerning the applicable Service.

These Terms of Use constitute an electronic record within the meaning of the applicable law. This electronic record is generated by a computer system and does not require any physical or digital signatures. Please read these Terms of Use carefully before using or accessing Uniqueandu or availing any Service. By using Uniqueandu or availing any Service, you signify your agreement to be bound by these Terms of Use.

In creating Uniqueandu, we have endeavored to offer current, correct, and clearly expressed information. However, since inadvertent errors of omission and commission can and do occur, coupled with changes in relevant laws and regulations, the content and provision of Services may be neither current nor accurate. Further, the content and information contained on Uniqueandu are intended to provide general guidance on matters of interest. We acknowledge that the User is acting in their best interest and transacting at their own risk. Before executing any transactions, the User should make themselves aware of all the terms and conditions governing the transaction. We try our best to describe the items as accurately as possible. However, due to digital image capture effects, there is a slight possibility that colors and textures may look different. Please confirm your questions before making any purchases.

1. USE OF UNIQUEANDU APP

   You agree and acknowledge that Uniqueandu is an online platform that enables you to purchase the products listed on Uniqueandu at the indicated price at any time from the serviceable locations. Except where we are the seller of the relevant product on Uniqueandu, you agree and acknowledge that we are only a facilitator and are not and cannot be a party to or control in any manner any transactions on Uniqueandu. Accordingly, such contract of sale of products on the website shall be a strictly bipartite contract between you and the sellers on Uniqueandu.

2. ELIGIBILITY

   Only persons who can enter into legally binding contracts as per the Indian Contract Act, 1872, i.e., persons who are 18 years of age or older, are of sound mind, and are not disqualified from entering into contracts by any law, can use and access Uniqueandu. If you are a minor i.e., under the age of 18 years, you may use Uniqueandu only with the involvement of a parent or guardian.

3. REGISTRATION AND OPERATION OF YOUR ACCOUNT

   3.1. To use Uniqueandu and avail of the Services, you will have to register on Uniqueandu. Registration is a one-time process and is free of cost. You may register in one of the following ways:

      3.1.1. By creating a Uniqueandu account: You can register by providing relevant information, such as your name, gender, and other details relevant for creating an account. Your login ID and password will be created based on the information provided by you, which you can use to access your Uniqueandu account at any time.

      3.1.2. By using a third-party account: You may use the login credentials from any third-party accounts maintained by you, as identified by Uniqueandu (for example, Google or Facebook). If you use such a third-party account, you will also be subject to specific terms and conditions applicable to such an account, as may be imposed by the relevant third party. Your credentials shared by you at the time of registration and your Uniqueandu login ID and password are referred to as “Account Information”.

   3.2. You are solely authorized to operate the account created by you. Consequently, it is your responsibility to maintain the confidentiality of the Account Information and for restricting access to your computer/mobile/other similar devices to prevent unauthorized access to your account. You will at all times keep your Account Information current and accurate. You can access and update much of the Account Information you provided us with in the ‘Your Account’ area of the website.

   3.3. You will: (a) immediately inform Uniqueandu of any unauthorized use of the account or any other security breach; and (b) ensure that you log out of your account at the end of each session. Uniqueandu will not be liable for any loss or direct or indirect damage arising from your failure to comply with these Terms of Use. You may be held liable for any losses incurred to Uniqueandu or any other user due to unauthorized use of their account, resulting from your failure to keep your Account Information safe, secure, and confidential. We reserve the right to refuse access to Uniqueandu, terminate accounts, or remove or edit content at any time without notice to you.

4. COMMUNICATION AND UNSUBSCRIPTION

   4.1. You understand that once you have shared your Account Information and successfully registered on Uniqueandu, you may receive SMS or email notifications from Uniqueandu relating to your registration and transactions on Uniqueandu.

   4.2. You may also receive such notifications regarding any marketing/promotional activities that may be available on Uniqueandu from time to time. By sharing your Account Information and registering on Uniqueandu and/or verifying your contact number with us, you explicitly consent to receive marketing/promotional communications (through call, SMS, email, or other digital and electronic means) from us and/or our authorized representatives regarding any new services or offerings, even if your contact number is registered under the DND/NCPR list under the Telecom Commercial Communications Customer Preference Regulations, 2018.

   4.3. Uniqueandu may also send notifications and reminders concerning the Services on Uniqueandu. While Uniqueandu endeavors to provide these notifications and reminders to you promptly, Uniqueandu does not provide any guarantee and will not be held liable or responsible for any failure to send such notifications/reminders to you.

   4.4. You can unsubscribe/opt-out from receiving marketing/promotional communications, newsletters, and other notifications from Uniqueandu at any time by following the instructions set out in such communications.

5. LICENSE AND ACCESS TO PLATFORM

   5.1. Your use of Uniqueandu, the Services, and access to the Uniqueandu Content (as defined below) is subject to a limited, revocable, and non-exclusive license granted to you when you register on Uniqueandu. You will use Uniqueandu solely for identifying Products, carrying out purchases of products, and processing returns and refunds, by the Return and Refund Policy, for your personal use only and not for business purposes.

   5.2. The license granted to you does not include a license for: (a) resale of Products or commercial use of Uniqueandu or Uniqueandu Content, (b) any collection and use of product listings, descriptions, or prices, (c) any use of Uniqueandu, the Services and/or of Uniqueandu Content other than as contemplated in these Terms of Use, (d) any downloading or copying of Account Information, (e) any use of data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) any parts of Uniqueandu, and (f) creating and/or publishing your database that features parts of Uniqueandu.

   5.3. You grant to Uniqueandu a royalty-free, perpetual, irrevocable, non-exclusive right and license to adapt, publish, reproduce, disseminate, transmit, distribute, copy, use, create derivative works from, display worldwide, or act on any material posted by you on Uniqueandu without additional approval or consideration in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content, and you waive any claim over all feedback, comments, ideas or suggestions or any other content provided through or on Uniqueandu. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Uniqueandu, including the execution of deeds and documents, at its request.

   Please note that Uniqueandu at all times reserves the right to refuse your access to Uniqueandu, terminate/deactivate your account, and remove or edit the content on Uniqueandu, at its discretion.

6. PERSONAL INFORMATION PRIVACY

   6.1. During your registration

 on Uniqueandu and use of the Services, you will share certain personal information with us, including Account Information. We respect your privacy and are committed to ensuring that your personal information is secure. Our Privacy Policy details how we collect, use, and protect your information on Uniqueandu.

   6.2. If you object to the transfer or use of your personal information, please do not use Uniqueandu.

7. CONTENT OWNERSHIP AND THIRD-PARTY LINKS

   7.1. Content included on Uniqueandu, including text, graphics, logos, images, audio clips, video clips, digital downloads, data compilations, etc. (collectively, “Uniqueandu Content”), is the property of Uniqueandu, its affiliates, or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.

   7.2. Uniqueandu may include links to third-party websites. You agree and understand that third-party websites are not controlled by Uniqueandu, and therefore Uniqueandu is not responsible for any content posted on such third-party websites.

8. USER OBLIGATIONS AND CONDUCT

   8.1. You agree and undertake to use Uniqueandu and the Services only to identify products, carry out purchases, process returns and refunds, access Uniqueandu Content, and avail of the other Services provided on Uniqueandu for your personal use.

   8.2. You will not use Uniqueandu or the Services for any commercial purposes or for the benefit of any third party, including but not limited to transactions on Uniqueandu. Any breach of this obligation will entitle Uniqueandu to take appropriate legal action against you.

   8.3. You will comply with all applicable laws and regulations while using Uniqueandu and the Services. You will not use Uniqueandu or the Services for any unlawful or prohibited activities, including but not limited to sending or receiving messages that are harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, hateful, or otherwise objectionable.

   8.4. You will not impersonate any person or entity, misrepresent your affiliation with any person or entity, or engage in any activity that would constitute fraud or misleading conduct.

9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

   9.1. Uniqueandu is provided on an "as is" and "as available" basis. We do not warrant that the services will be uninterrupted or error-free, and we do not make any representations regarding the use or the results of the use of the services, including their accuracy, reliability, or quality.

   9.2. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

   9.3. In no event shall Uniqueandu, its officers, directors, employees, or agents be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of Uniqueandu or the services, even if advised of the possibility of such damages.

10. INDEMNIFICATION

    You agree to indemnify, defend, and hold harmless Uniqueandu, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of Uniqueandu, your breach of these Terms of Use, or your violation of any rights of any third party.

11. TERMINATION

    We may terminate or suspend your account and access to Uniqueandu immediately, without prior notice or liability, if you breach these Terms of Use or for any other reason, at our sole discretion. Upon termination, your right to use Uniqueandu will immediately cease.

12. GOVERNING LAW AND JURISDICTION

    These Terms of Use shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts in Surat ,gujrat, India.

13. GENERAL PROVISIONS

    13.1. If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

    13.2. These Terms of Use constitute the entire agreement between you and Uniqueandu regarding the use of Uniqueandu and the Services and supersede any prior agreements or understandings, whether written or oral.

    13.3. Our failure to enforce any right or provision of these Terms of Use shall not be deemed a waiver of such right or provision.
